Platypus Terms of Service

These Terms of Service (Terms) govern your access to and use of the Platypus services, including our Discord-integrated bot features, dashboard, API, database-backed administration tools, public pages, and related functionality (Service), provided by FIWDIL LLC (Company, we, us, or our).

By accessing or using the Service, you agree to these Terms.

1. Eligibility and Authority

  1. You must be at least 13 years old and meet the minimum digital consent age in your jurisdiction.
  2. If you use the Service for an organization, you represent that you have authority to bind that organization.
  3. You are responsible for ensuring your users and administrators comply with these Terms.

2. Service Description

The Service provides tooling for Discord-centered community operations, including guild registration, permissions, entitlement management, panel orchestration, member profiles, award and academy records, group organization records, audit logs, support workflows, and related features.

We may update, improve, modify, suspend, or discontinue features from time to time, including changes needed for security, legal compliance, or compatibility with third-party platforms.

Support channels, response targets, and uptime commitments apply only when stated in a separate written agreement or service-level document.

3. Accounts and Access

  1. You are responsible for all activities under your account and administrator credentials.
  2. You must provide accurate account information and keep it current.
  3. You must promptly notify us of unauthorized access or suspected security incidents.

4. Acceptable Use

You agree not to use the Service to:

  1. Violate any law or regulation.
  2. Infringe intellectual property, privacy, publicity, or other rights.
  3. Distribute malware, harmful code, or abusive automation.
  4. Send spam, deceptive communications, or unauthorized marketing.
  5. Circumvent technical safeguards, access controls, or API limits.
  6. Misuse or commercialize third-party platform data in violation of platform terms.
  7. Copy, modify, distribute, sell, lease, resell, sublicense, or create derivative works of the Service except as expressly permitted by us or applicable law.
  8. Reverse engineer, decompile, disassemble, or attempt to discover source code or non-public APIs except where applicable law does not permit that restriction.
  9. Use the Service to collect, process, or expose data beyond what is reasonably necessary for the enabled features.

5. Discord and Third-Party Compliance

  1. You must comply with all applicable Discord terms and policies, including developer and platform rules.
  2. You must comply with terms of any other third-party provider used with the Service.
  3. We may modify, suspend, or restrict features to maintain legal or platform compliance.
  4. Your use of the Discord app or bot is also subject to the Platypus Discord App Terms of Service.

6. Fees, Billing, and Taxes

  1. Paid plans, billing cycles, and pricing are described in your order form, checkout flow, or pricing page.
  2. Unless stated otherwise, fees are non-refundable except where required by law or our published refund policy.
  3. You are responsible for applicable taxes other than taxes on our net income.
  4. Failure to pay may result in suspension or termination.

7. Term, Renewal, and Cancellation

  1. Subscriptions continue for the selected billing cycle unless canceled.
  2. You may cancel according to our Refund and Cancellation Policy.
  3. Cancellation stops future renewals but does not retroactively refund prior charges unless required by law or policy.

8. Customer Content and Data

  1. You retain rights in your content.
  2. You grant us the rights necessary to host, process, transmit, and display content solely to provide and improve the Service.
  3. You represent that you have all rights and permissions needed for content and data you provide or instruct us to process.

9. Privacy

Our processing of personal data is governed by our Privacy Policy. You are responsible for providing notices and obtaining consents required for your own use of the Service.

10. Intellectual Property

The Service and all related technology, software, designs, documentation, trademarks, and other intellectual property are owned by us or our licensors and protected by applicable intellectual property laws.

Subject to your ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your internal business or community administration purposes. No part of the Service is sold to you, and no rights are granted except as expressly stated in these Terms.

11. Feedback

If you submit feedback or suggestions, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to use that feedback without restriction or obligation.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of Liability

The Company is not responsible for indirect, incidental, special, consequential, exemplary, or punitive damages. This includes losses of profits, revenue, data, and goodwill. For any claim related to the Service, the Company's total liability is capped. The cap is the amount paid for the Service in the 12 months before the event that caused the claim.

Some jurisdictions do not allow certain warranty exclusions or limitations of liability, so portions of Sections 12 and 13 may not apply to you.

14. Indemnification

You must defend, indemnify, and hold harmless the Company, along with its affiliates, officers, directors, employees, and agents. This applies to any claims and expenses arising from your breach of the Terms of Service. You are responsible for the related losses and costs.

15. Termination

We may suspend or terminate your access to the Service if you breach the Terms, if your content or data creates problems, if you misuse the Service, if you violate the law or third-party rights, if you create a security or legal risk, if you fail to pay required fees, or if suspension is needed to comply with third-party platform rules.

Upon termination, your right to access and use the Service ends immediately, except where we expressly allow limited access for account administration, data export, or another transition purpose.

16. Governing Law and Venue

These Terms are governed by the laws applicable to FIWDIL LLC in its place of organization and principal operations, excluding conflict-of-law rules, unless mandatory law provides otherwise. Venue for disputes will be the courts with jurisdiction over FIWDIL LLC's principal place of business unless a separate written agreement or mandatory law requires a different forum.

17. Changes to Terms

We may update these Terms. Material updates will be communicated through reasonable notice, and continued use after effective date means acceptance.
