Software as a Service End User License Agreement (EULA)

This Software as a Service End User License Agreement (EULA) is entered into between [[Company Legal Name]], with a principal place of business at [[Company Address]] (Company, we, us, or our), and the person or entity accepting this EULA (you or Customer).
By accessing or using the Platypus platform, Discord bot, API, dashboard, and related services (collectively, the Service), you agree to this EULA.
1. License Grant
Subject to your ongoing compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business or community administration purposes.
2. License Restrictions
You may not, and may not permit others to:
- Copy, modify, distribute, sell, lease, resell, or create derivative works of the Service except as expressly allowed by law.
- Reverse engineer, decompile, disassemble, or attempt to discover source code or non-public APIs except where prohibited by applicable law.
- Use the Service in violation of applicable law, third-party terms, or platform rules.
- Circumvent security controls, rate limits, access controls, or technical restrictions.
- Use the Service to collect, process, or expose data beyond what is necessary for stated features.
3. Third-Party Platform Dependencies
The Service integrates with third-party systems including Discord and may integrate with payment providers and storage providers.
- Your use of those third-party systems is governed by their terms and policies.
- If a conflict exists between this EULA and mandatory third-party platform rules that apply to integration behavior, mandatory third-party platform rules control for that behavior.
- We may suspend or restrict functionality to maintain compliance with third-party requirements.
4. Customer Data and API Data
- You remain responsible for your data and for obtaining all necessary rights and permissions.
- We process data according to our Privacy Policy and applicable law.
- You will not instruct us to process data in ways that violate law or third-party platform terms.
5. Security and Credentials
- You are responsible for safeguarding your account credentials, integration credentials, and administrator access.
- You must promptly notify us of any suspected unauthorized access or security incident.
6. Updates and Changes
We may update, improve, or discontinue features from time to time, including changes required for security, legal compliance, or third-party platform compatibility.
7. Support and Service Levels
Support channels, response targets, and any uptime commitments are provided only as set forth in a separate written agreement or service-level document.
8. Intellectual Property
The Service, including software, design, documentation, trademarks, and all related intellectual property rights, is and remains our property or our licensors property.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA.
- OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from claims, losses, liabilities, and expenses (including reasonable attorneys fees) arising from:
- Your use of the Service.
- Your data or content.
- Your breach of this EULA.
- Your violation of applicable law or third-party rights.
12. Term and Termination
- This EULA remains effective until terminated.
- We may suspend or terminate access immediately if you breach this EULA, violate law, create security risk, or require suspension for third-party platform compliance.
- Upon termination, your right to use the Service ends immediately.
13. Governing Law and Disputes
